These Terms and Conditions govern your access to and use of napqin. By using napqin, you agree to these terms. If you do not agree, do not use the platform.

1. Service

napqin is a software platform that helps users turn conversations, notes, emails, transcripts, and guided answers into draft agreements, contract workflows, and signature-ready documents.

napqin is not a law firm, does not act as your attorney, and does not provide legal advice, legal representation, or a guarantee that any output is suitable for your specific matter.

2. Eligibility and Accounts

You must be at least 18 years of age and have the legal capacity to enter into binding agreements to use napqin. By creating an account, you represent and warrant that you meet these requirements. If we learn that a user does not meet these eligibility requirements, we may terminate their account.

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

You agree to provide accurate account information, including a valid email address and any verification details requested by the platform.

3. Your Content

You retain responsibility for all information, contract terms, names, contact details, pricing, obligations, uploaded materials, and signature data you provide to napqin.

You represent that you have the right to submit the content you upload or paste into the platform and that doing so does not violate any law, confidentiality duty, or third-party right.

4. Platform Output

napqin generates draft documents and workflow outputs based on user-provided information and automated processing. You are responsible for reviewing all output before relying on it, sending it to another party, signing it, or using it in any transaction.

You should obtain independent legal review where the transaction, amount, risk, jurisdiction, or subject matter warrants it.

5. No Warranty of Enforceability

napqin does not warrant that any draft, agreement, signature record, or exported file is legally enforceable, complete, accurate, admissible, or fit for a particular purpose.

The platform may identify missing fields and risks, but those indicators are not exhaustive and should not be treated as a substitute for professional legal judgment.

6. Acceptable Use

You may not use napqin to violate law, infringe rights, impersonate others, submit false identity information, distribute malware, interfere with the platform, or create fraudulent or deceptive agreements.

We may suspend or terminate access if we believe the platform is being misused or used in a way that creates legal, security, or reputational risk.

7. Signatures and Records

Electronic signatures, audit logs, timestamps, and related records are provided as part of the platform workflow, but you remain responsible for confirming the identity, authority, and intent of all parties.

Where identity verification is limited, delayed, or simulated, you are responsible for deciding whether the workflow is appropriate for the transaction.

8. Fees and Access

Any pricing, paid access, per-contract charges, or premium workflow restrictions displayed in napqin are part of the product terms in effect at the time of use.

Unless otherwise stated, fees are non-refundable once a contract workflow has been generated or unlocked.

9. Limitation of Liability

To the maximum extent permitted by law, napqin and its operators are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost opportunities, data loss, contract disputes, failed transactions, or third-party claims arising from your use of the platform.

To the maximum extent permitted by law, our total liability arising out of or related to the platform will not exceed the amount you paid to napqin for the specific contract workflow giving rise to the claim, or one hundred U.S. dollars if no fee was paid.

10. Indemnity

You agree to defend, indemnify, and hold harmless napqin and its operators from claims, liabilities, losses, damages, and expenses arising out of your content, your agreements, your use of the platform, or your violation of these terms.

11. Changes and Governing Law

We may update these terms from time to time. Continued use of napqin after an update means you accept the revised terms.

These terms are governed by the laws designated in the final published version of these terms or, if no jurisdiction is designated there, by the laws of the operator's principal place of business, without regard to conflict-of-law principles.
